Legal Counsel

The Legal counsel will be required to provide sound, effective and comprehensive legal advice relating to corporate and commercial law aspects in primarily South Africa and then in other jurisdictions within which the Group has interests.

Minimum Requirements

Qualifications  
  • Minimum LLB LLM advantageous
  • Admitted attorney         
  • Valid Code 08 drivers licence    
Experience
  • Post admission experience of at least 5-7 years
  • Experience in commercial law
  • Experience in mining law advantageous
  • Sound understanding of the new Company’s Act and other key legislative laws relevant to the business operations
  • Experience in an advisory role to clients
  • Experience in merger and acquisition transactions

Job Specification
  • The role of the legal counsel requires a mature candidate who is able to effectively manage his/her legal role, take comprehensive instructions from internal clients, adequately brief external legal counsel, understand his/her role vis-a-vis internal clients and external counsel, proactively manage both internal and external client and stakeholder relationships and be able to work collaboratively in teams to meet and deliver swiftly on the business objectives of clients.
  • This role profile is solely as a guide to the role and additional role outcomes may be required to be performed.
Key deliverables
  •  Provide sound, high quality business enabling legal advice to clients in a manner that is professional, clear, cost efficient and concise
  • Draft commercial agreements in accordance with client specific needs and objectives and deliver a service with due diligence and accuracy
  • Manage due diligence assignments timeously and accurately
  •   Be business focussed and able to comprehend the business needs of clients
  • Work collaboratively in teams across different divisions and/or departments
  • Effectively manage client and stakeholder relationships
  •  Proactively create awareness and communicate changes to legislation to clients to manage and/or reduce impact of possible risk to clients
  •  Adequately and timeously comply with all reporting obligations (both internally and externally) strictly in accordance with Group Legal policies and guidelines
  • Avoid unnecessary overhead or unbudgeted costs and implement the legal process outsourcing model (where applicable
  • Ensure documents and agreements are drafted timeously and accurately
  •  Legal compliance
  •  Responsible for keeping abreast of changes to legislation and ensuring compliance across a range of disciplines impacting on the commercial nature of respective transactions.
  • Deliver services in a costs efficient manner. Implement and ensure strict adherence and compliance with external lawyer engagement policy. Comply with all agreed KPI’s
