Job Description:
- Obtain and analyze information on new projects.
- Determine a possibility to purchase an asset.
- Request from the seller of an asset the information needed for the
primary assessment of investment attractiveness of a company.
- Organize company employees into working groups to assess investment
attractiveness of new projects.
- Head and coordinate activities of the working groups (2.1.1), set tasks
to be performed by the members of the working groups, supervise timely execution
of the job and its results.
- If necessary, organize company employees into working groups to visit an
enterprise reviewed to be purchased for primary assessment of assets, assessing
state of manufacturing equipment and buildings, objects of infrastructure,
performing primary analysis of financial state of the enterprise, clarifying
legal aspects of a potential deal.
- Head and coordinate the working groups activities while on visits.
- Provide conclusions about investment attractiveness of a project.
- In case the Management of the Company confirms interest in an
enterprise, initiate the participation in a bid/tender/purchase
- Maintain liaison with the sellers of assets to communicate the Company’s
interest in buying the enterprise.
- Prepare documents for the primary entry into the process of buying an
enterprise (Letters of intent, Memorandum of understanding, Expression of
interest è ò.ä.)
- Maintain liaison with the organizers of tenders to have the Company
established as an official participant at the pre-qualification stage.
- Ensure timely collection of tender conditions, conditions of tender
participant’s pre-qualification, schedule of tender stages, etc.
- Supervise the process of preparing certain information blocks by the
Company departments needed to create a package of documents to pass the
pre-qualification of tender’s participants.
- Create a pre-qualification documents package
- Search for and choose the best independent consultants to conduct
engineering, legal and financial due diligence, marketing research and other
research and analytical activities to the extent required to build a financial
model of an enterprise and prepare a bid.
- Determine the scope of works for each consultant, deadlines, type and
form to present the results.
- Prepare a Request for Proposal for the consultants chose
- Negotiate with consultants at the stage of concluding a contract for
Scoping Study within the framework of the said activities
- Agree contractual terms and agreement with independent consultants.
- Supervise and coordinate the due diligence process with independent
consultants
- If required, visit an enterprise reviewed to be purchased to supervise
and coordinate the activities of independent consultants at the stage of due
diligence
- Supervise that the results of the activities performed by independent
consultant have been presented according to the schedule agreed
- Be in close contact with the organizers of a bid/tender to control
probable changes in the schedule, conditions, new requirements appeared, etc.
- Supervise the process of interaction of independent consultants to
ensure the timely exchange of information needed to create a bid.
- Arrange a package of documents to build a bid, or if arrangement of a
bid is to be done by an independent consultant, supervise the schedule of bid
preparation.
- Provide tender board with a bid and receive all the confirmations
necessary that such bid has been timely provided according to the tender
conditions.
- Obtain the information about the results of a tender, if necessary,
request explanations about the procedure of bids assessment and selecting the
winner, if necessary, express protests against the results of a tender and
require that such tender be deemed null and void.
- All other requirements, orders or directives of the management, unless
they are in conflict with this Job Description, local regulation and Labor
Legislation of the Russian
Federation.
Qualifications:
- Significant experience within the Metals and Minerals industry.
- Higher Education Degree (Financial or Engineering) with a major in
mining practice or mineral processing or metallurgy or finances and credit.
- Knowledge of bidding mechanism and procedure stages
- Practical experience in successful participation in a bid to purchase
mining companies
- General knowledge of operations of the mining companies, interaction of
engineering units in the company, production cycles
- General financial and economic knowledge (building financial models
(DCF), economic indices of investment attractiveness, etc.)
- General knowledge of the market and sales of the products of the metal
mining companies
- General knowledge of the international law principles of international
purchase and sales transactions
- Advanced spoken and written English and knowledge of engineering and
mining terminology and business terminology
- Advanced software user (Microsoft office)
Any Special Requirements:
- Russian speaking is highly desirable
