General Counsel

Midwestern start-up company has an opening for a General Counsel. The company is progressing with the purpose of mining coal and pursuing strategic synergistic business opportunities. The General Counsel will provide sound legal advice to company executives to ensure that business is conducted in accordance with the U.S. & State(s) law. Furthermore, the General Counsel will present legally sound alternatives in negotiating key business transactions and evaluating business risks. Additional responsibilities will include, but not be limited to:

• Provide legal counsel and develop legal policies and procedures
• Act as a creative resource to develop solutions within legal boundaries
• Formulate and implement legal strategies which are consistent with company objectives, and which minimize legal risk on the company.
• Conduct negotiation of major business transactions such as acquisitions, due diligence, financings, joint ventures, options to lease/purchase, land and resource purchase agreements, sales agreements, concession contracts and government approvals.
• Provide public land and mining law advice involving mining claim location, maintenance and protections, environmental permitting and land acquisition
• Advise management of permits required for development and operation of mines, and participate in acquisition of permits.
• Qualifications include bar association membership, degree from an accredited and respected law school and a minimum of fifteen years of professional legal practice
• Extensive experience in negotiating mining business transactions is required as well as exposure to commercial transactions, employment matters and litigation management.
