Company NewsThursday, August 13, 2009 Minsur S.A. announced today, through its subsidiary Minera Latinoamericana SAC, jointly with Inversiones Breca S.A. will take part in the operation of takeover bid for the cement business of Lafarge in Chile, which involves the acquisition of 100% social capital of "Blue Circle Chilean Holdings Limitada", a Chilean holding owner of 82.7373% Lafarge Chile S.A. shares; and for 1.4823% Lafarge Chile shares owned by Cementos Overseas Holding Limited. The acquisition process involves the execution of a takeover bid on the Chilean Market, where Lafarge Chile S.A. shares are listed, over the remaining 15.7804% shares owned by minority investors. Therefore, Minsur will contribute in cash with Pen$905 million to the Minera Latinoamericana social capital, which will have to issue in exchange, 905,000 representatives shares in favour of Minsur.
